    Welcome to Flux Reviews LLC and our website at https://www.fluxreviews.com/ (our “Platform”). These Terms and Conditions (the “Terms”) constitute a legal agreement between you and Flux Reviews governing the use of our Review Management Software (“Services”). We license use of our Services to you on the basis of these Terms. We do not sell our Services to you, and we remain the owner of our Platform at all times.

    These Terms were last updated on November 2025 and are the current and valid version. The name Flux Reviews, as well as related names, marks, emblems, and images, are registered trademarks and the property of Flux Reviews LLC.

    Terms of Use

    The provisions set out in these Terms govern your access to and use of our Platform and Services and shall constitute a legally binding agreement between you and us.

    We may change these Terms from time to time and will notify you accordingly if we do. If you do not agree to such terms, you must not use our Platform or Services.

    Subject to you agreeing to abide by these Terms, we grant you a revocable, non-exclusive, and non-transferable license to use our Platform under these Terms.

    By registering for an Account, which involves providing us with certain mandatory and voluntary information required for registration, you agree and acknowledge that:

    • You have read and agree to be bound by these Terms;

    • You are at least 18 years old or legally emancipated; and

    • You shall ensure that all Users of your Account abide by these Terms.

    You are responsible for maintaining the confidentiality of your Account and all activities that occur under it. We are not responsible for any loss, damage, or liabilities arising from the wrongful, fraudulent, or illegal use of your Account.

    We reserve the right, without notice or liability, to suspend or terminate your access to our Platform or Services, remove content, or modify any part of our Services at our discretion.

    The following additional terms also apply to your use of our Platform and form part of these Terms:

    Free Access

    We may make parts of the Services available to you free of charge until the earlier of:

    • The end of the free period;

    • The date that you purchase a paid plan; or

    • Termination by us at our discretion.

    The provisions of these Terms also apply to any free trial period.

    Service Fees

    Using our Services may require payment of fees (“Fees”). These Fees will be displayed through our Platform. All Fees must be paid by their due date as notified to you. Failure to pay may result in suspension or termination of access to your Account or Services. We may amend our Fees at any time with reasonable advance notice. Continued use after such notice constitutes acceptance of the new Fees. You are responsible for all applicable taxes.

    Payments shall be made through approved methods listed on our Platform. We are not responsible for payment errors, disruptions, or third-party payment failures.

    Uploading Content to Our Platform

    You represent and warrant that any content uploaded complies with our Privacy Policy, U.S. data protection laws, and the EU’s General Data Protection Regulation (“GDPR”), as applicable.

    You are solely responsible for content uploaded to our Platform. We are not liable for:

    • The content or accuracy of user-uploaded data; or

    • The loss of any uploaded content or data.

    We may use uploaded content to operate and improve our Services, including anonymized analytics or machine learning. We reserve the right to remove or disclose user content if it violates applicable laws or our policies.

    Acceptable Use Policy

    You may only use our Platform for lawful purposes. You agree not to:

    • Use the Platform in any way that violates local or international laws;

    • Upload, distribute, or transmit harmful or infringing content;

    • Attempt to gain unauthorized access to systems or data;

    • Interfere with or disrupt the security or performance of our Platform;

    • Reverse-engineer, scrape, or reproduce any part of our Services without permission.

    We maintain a zero-tolerance policy toward abuse, harassment, or harmful behavior directed at other users or staff. Violations may result in account termination.

    Intellectual Property Rights

    All intellectual property rights in our Platform and Services belong to Flux Reviews LLC. You are granted a limited license to use the Platform as outlined in these Terms.

    You retain ownership of any content you upload, but grant us a royalty-free, non-exclusive license to use it for service delivery, support, and improvement purposes. You may not modify, reproduce, or distribute any part of our Platform without written permission.

    Warranties

    While we make all efforts to maintain accurate information, our Platform and Services are provided “as is” and “as available.” We make no warranties, express or implied, including merchantability or fitness for a particular purpose. You agree to use the Platform at your own risk.

    Technical Requirements

    You are responsible for ensuring you meet the technical requirements to access and use our Services, including compatible hardware, software, and internet connection.

    Flux Reviews does not guarantee compatibility with every device or configuration.

    Third-Party Services

    Certain features rely on third-party services (e.g., Twilio, SendGrid, Stripe). Use of such services is subject to their own terms and privacy policies.

    Flux Reviews is not liable for actions, data use, or service issues related to third-party providers.

    Limitation of Liability

    You agree that Flux Reviews shall not be liable for any indirect, incidental, or consequential damages, including:

    • Loss of profits, revenue, or business;

    • Data loss or corruption;

    • Business interruption or goodwill damage.

    Nothing in these Terms excludes liability for death, personal injury, or fraud resulting from our negligence.

    Indemnity

    You agree to indemnify and hold harmless Flux Reviews LLC, its employees, and affiliates from any claims, damages, or expenses arising from your use of our Platform or violation of these Terms.

    Other Important Terms

    We may transfer our rights and obligations under these Terms to another organization without affecting your rights. These Terms constitute the entire agreement between you and Flux Reviews LLC and supersede all prior agreements.

    Each section of these Terms operates separately. If any provision is found unlawful or unenforceable, the remaining terms remain in effect.

    These Terms and any disputes arising from them are governed by the laws of the State of Pennsylvania, United States.

    Both parties agree to submit to the exclusive jurisdiction of the courts of Pennsylvania, United States after attempting in good faith to resolve any disputes.
